Welcome to RemoteFlow Systems. These Terms of Service ("Terms") govern your access to and use of our workflow automation and client management platform designed specifically for freelancers. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you (the "User," "you," or "your") and Oskars Zandbergs, operating as RemoteFlow Systems ("we," "us," or "our"). We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of our services after any changes constitutes acceptance of the modified Terms.

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or extended periods of inactivity. You agree to use RemoteFlow Systems only for lawful purposes and in accordance with these Terms. You specifically agree not to:

• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the service
• Impersonate or attempt to impersonate RemoteFlow Systems, our employees, another user, or any other person or entity

• Attempt to gain unauthorized access to any portion of the service, other accounts, or any systems or networks connected to the service

• Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable

The service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by RemoteFlow Systems, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the service strictly in accordance with these Terms. You may not:

• Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the service
• Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices
• Reverse engineer, decompile, or disassemble any software or technology used in the service

5.2 User Content

You retain all rights to any content you submit, post, or display on or through the service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the service and our business operations.

You represent and warrant that you own or have the necessary rights to all User Content you submit and that such content does not violate any third-party rights or applicable laws.

6. Payment Terms and Subscription

6.1 Pricing and Payment

Access to certain features of RemoteFlow Systems may require payment of fees. All fees are quoted in Euros (EUR) unless otherwise specified. You agree to pay all applicable fees as described on our website at the time of purchase. We reserve the right to change our pricing at any time, but price changes will not affect existing subscriptions until renewal.

6.2 Subscription Terms

If you purchase a subscription, it will automatically renew at the end of each subscription period unless you cancel before the renewal date. You authorize us to charge your payment method for the renewal fee. You can cancel your subscription at any time through your account settings or by contacting us.

6.3 Refund Policy

We offer a 14-day money-back guarantee for new subscriptions. If you are not satisfied with our service within the first 14 days of your initial subscription, you may request a full refund. 6.4 Taxes

All fees are exclusive of applicable taxes unless otherwise stated. You are responsible for paying all taxes associated with your use of the service. If we are required to collect or pay taxes, they will be charged to you in addition to the stated fees.

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. You acknowledge and agree that RemoteFlow Systems shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such third-party content, goods, or services.

9. Disclaimers and Limitations of Liability

9.1 Service Availability

We strive to provide reliable and uninterrupted service, but we cannot guarantee that the service will be available at all times or that it will be error-free. The service is provided "as is" and "as available" without warranties of any kind, either express or implied.

9.2 Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall RemoteFlow Systems, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

1. Your access to or use of or inability to access or use the service
2. Any conduct or content of any third party on the service
3. Any content obtained from the service
4. Unauthorized access, use, or alteration of your transmissions or content

Our total liability to you for all claims arising from or related to the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or €100, whichever is greater.

While we provide consultation services and tools to help freelancers manage their workflow and clients, our service does not constitute professional legal, financial, or tax advice. You should consult with appropriate professionals for advice specific to your situation.

10. Indemnification

You agree to defend, indemnify, and hold harmless RemoteFlow Systems, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the service, including any data or content transmitted or received by you
• Your violation of any rights of another person or entity
• Your violation of any applicable laws, rules, or regulations
• Any User Content you submit, post, or transmit through the service
• Any negligent or wrongful conduct by you

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Latvia, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

11.2 Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the service, the parties agree to first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue legal remedies.

11.3 Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or related to these Terms or the service shall be instituted exclusively in the courts of Rīga, Latvia. You irrevocably submit to the jurisdiction of such courts and waive any objection to venue in such courts.

12. Modifications to Terms and Service

12.1 Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes to these Terms, we will notify you by email (if you have provided an email address) or by posting a notice on our website at least thirty (30) days before the changes take effect.

Your continued use of the service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the service and may terminate your account.

12.2 Changes to Service

We reserve the right to modify, suspend, or discontinue the service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the service.

13. Termination

We may terminate or suspend your account and access to the service immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use the service will immediately cease.

If you wish to terminate your account, you may do so by:

Upon termination, we will make reasonable efforts to delete your data within thirty (30) days, except where we are required to retain it by law or for legitimate business purposes. Some data may remain in backup copies for a limited period but will not be accessible.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the service, constitute the entire agreement between you and RemoteFlow Systems concerning the service and supersede all prior agreements and understandings, whether written or oral.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable.

14.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign or transfer these Terms or our rights and obligations under these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

14.6 Survival

All provisions of these Terms which by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
